Commercial Law | Master Service Agreements (MSAs) Between Contractors and Sub-Contractors for Infrastructure Projects

A Master Service Agreement (MSA) is the foundation of every construction relationship between an EPC contractor and its sub-contractors. It sets the commercial and legal terms under which multiple site works, from trenching, welding, digging, dirt removal, installation, and commissioning are performed under consistent rules. When well drafted, it defines how risk, payment, and responsibility flow down the project chain, so that the people doing the work can focus on performance instead of paperwork.

 

In large energy and infrastructure projects, risk travels faster than lightning. An earthmover digging for foundations may hit a utility pipeline; a welder’s spark may damage sensitive equipment; a crane lift may stall due to a faulty rigging plan. In each case, the Owner points to the EPC, the EPC turns to the sub-contractor, and the sub-contractor’s insurer starts asking
